Management Board

Governance Rules for Supervised Institutions
Corporate governance includes the most important principles and processes concerning the management of a company and the control of its functioning. It was prepared in accordance with the requirements of the Polish Financial Supervision Authority for supervised institutions.
Conotoxia Sp. z o.o. adheres to the Governance Rules for Supervised Institutions.
Conotoxia Sp. z o.o. has implemented corporate governance principles with respect to:

- Developing a long-term strategy for action.
- Relationships with governing shareholders.
- Regulation of the Authority to work with internal regulations.
- Internal regulation of partner assembly work.
- Renumeration policy.
- Information policy.
- Promotional, advertising activity and customer relations.
- Internal auditory system.
- Risk management system.
Conotoxia Sp. z o.o. does not adhere to the rules determined in Chapter 4. The company has decided not to appoint a Supervisory Board. In the company's opinion, it is unnecessary to institute a Supervisory Board on the grounds of limited activity involved in the provision of payment solutions. Decision making within the organization was determined to be collegial and is ensured through the appointment of a management board composed of several members. The company is of the opinion that this is sufficient for the safe, collegial management of the organization. As a result, the company opted out of Chapter 4 Authority execution.
Conotoxia Sp. z o.o. does not apply the rules determined in Chapter 9, the Eligibility of Assets Acquired at Customers' Risk Execution, as the company does not acquire or manage assets at customers' risk.
